By accessing or using Crispy Umbrella's Disaster Recovery as a Service (DRaaS) platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Service Description

Crispy Umbrella provides a comprehensive DRaaS platform that includes:

• Automated network and asset discovery
• Cloud backup monitoring and integration
• Disaster recovery planning and documentation
• Compliance reporting and audit trails
• Real-time monitoring and alerts

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

3.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Service, you represent that you meet these requirements.

4. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Scan networks or systems you do not own or have explicit permission to scan
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to transmit malware or malicious code
• Violate any applicable laws or regulations
• Share your account credentials with unauthorized users

5. Network Scanning Authorization

CRITICAL: You represent and warrant that you have obtained all necessary permissions and authorizations before using our network scanning features. You are solely responsible for:

• Obtaining written authorization to scan networks and systems
• Complying with all applicable laws regarding network scanning
• Ensuring scans do not violate third-party rights or agreements
• Any damages or liabilities resulting from unauthorized scanning

We provide tools for legitimate disaster recovery planning only. Unauthorized network scanning may be illegal under federal and state laws.

6. Subscription and Payment

6.1 Free Trial

We offer a 14-day free trial. No credit card is required to start your trial. At the end of the trial, you must subscribe to continue using the Service.

6.2 Subscription Plans

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law.

6.3 Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You may cancel at any time through your account settings.

6.4 Price Changes

We may change subscription prices with 30 days' notice. Continued use after price changes constitutes acceptance of the new prices.

7. Data and Privacy

9. Service Availability and Support

9.1 Service Level

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice.

9.2 Support

Support is provided via email and online documentation. Response times vary by subscription plan.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR DATA LOSS, NETWORK DAMAGE, OR UNAUTHORIZED ACCESS CLAIMS
• YOU ASSUME ALL RISKS ASSOCIATED WITH NETWORK SCANNING AND DR PLANNING

11. Indemnification

You agree to indemnify and hold harmless Crispy Umbrella from any claims, damages, or expenses arising from: (a) your use of the Service, (b) your violation of these Terms, (c) unauthorized network scanning, or (d) infringement of third-party rights.

12. Termination

12.1 Termination by You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or fail to pay fees.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days.

13. Modifications to Terms

We may update these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Crispy Umbrella
• Severability: If any provision is invalid, the remaining provisions remain in effect
• No Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our written consent
• Force Majeure: We are not liable for delays due to circumstances beyond our control
